APPLYING FOR A PROFESSIONAL ENTITY

MAKING AN AMENDMENT TO AN EXISTING ENTITY

Please note before you can form an entity or amend an entity with the NC Secretary of State (NC SOS) you are required to apply through the Board and receive a Certification of Application. You will be required to submit the appropriate Board Application Form and NC Secretary of State Articles form. SEE BELOW FOR FORMS.

Once an application or amendment has been processed, Board staff will return to you the validated and sealed forms required for you to forward to the Secretary of State. After the NC SOS has approved your application, a certified copy showing the Secretary of State s seal must be sent to the Psychology Board via email to info@ncpsychologyboard.org.  Board staff will then issue your certificate and registration number. PLEASE NOTE: A company organized for the rendition of professional psychological services is NOT validly operating if it has not received the Certification of Registration/registration number from the Board. Pursuant to G.S. 55B-10, No professional corporation shall open, operate, or maintain an establishment for any of the purposes set forth in this Chapter without first having obtained a certificate of registration from the licensing board or boards.

 

ALL PROFESSIONAL ENTITIES ARE REQUIRED TO BE RENEWED ANNUALLY BY JANUARY 1ST  Reminder notifications are sent out via email from NoReply@ncpsychologyboard.org. Please add this email address along with info@ncpsychologyboard.com and  to your address book so that notifications from Board staff are not sent to junk/spam.

Please do not hesitate to contact the Board office if you have any questions regarding these procedures. However, the Board cannot offer legal advice or opinions on any filing. Therefore, you may wish to consult with an attorney and/or accountant during this process.

PROFESSIONAL LIMITED LIABILITY COMPANY (PLLC)

To form a Professional Limited Liability Company (PLLC) you will need to submit the following items to the Board office:

PROFESSIONAL CORPORATION (PC)

To form a Professional Corporation (PC) you will need to submit the following items to the Board office:

FOREIGN PROFESSIONAL LIMITED LIABILITY COMPANY (PLLC) (entity transferring from another state)

To form a Foreign Professional Limited Liability Company (Foreign PLLC), you will need to submit the following items to the Board office:

  • The Foreign PLLC Board Application
  • Application for Certificate of Authority for a Foreign PLLC (NC SOS FORM - PLLC-01)
  • Current Certificate of Existence, or document of similar import with filing. The Certificate of Existence cannot be more than six months old
  • $50 application fee.

FOREIGN PROFESSIONAL CORPORATION (PC) (entity transferring from another state)

To form a Foreign Professional Corporation (Foreign PC), you will need to submit the following items to the Board office:

  • The Foreign PC Board Application
  • Application for Certificate of Authority of a Foreign PC (NC SOS FORM - PC-01)
  • Current Certificate of Existence or document of similar import with filing. The Certificate of Existence cannot be more than six months old.
  • $50 application fee.

CHANGE NAME OF PROFESSIONAL CORPORATION (PC)

To change the name of your Professional Corporation (PC) you will first need to submit the documents below to the Board office.

Once processed, Board staff will return to you the validated and sealed Articles of Amendment Business Corporation (B-02) and the Certification of Amendment Application for you to forward to the Secretary of State. After the SOS has sent verification of approval you will need to send the Board a copy and we will at that time issue a new certificate.

CHANGE NAME OF PROFESSIONAL LIMITED LIABILITY COMPANY (PLLC)

To change the name of your PLLC you will first need to submit the attached documents to the Board office.

 

 Once processed, Board staff will return to you the validated and sealed Amendment of Articles of Organization and the Certification of Amendment Application for you to forward to the Secretary of State. After the SOS has sent verification of approval you will need to send the Board a copy and we will at that time issue a new certificate.

ADDING OR REMOVING A MEMBER

To add or remove a member from an entity you will be required to complete the form below listing each member separately.

 

Once processed, Board staff will notify you of completion via the email on file.

CREATING A DBA FOR PLLC OR PC

If you wish to set up your professional entity with a DBA you will need to file a Certificate of Assumed Name for a Limited Liability Company with the Register of Deeds in the County you are doing business and send the Board a copy of the completed/approved form.

CONVERSION OF PC TO PLLC

To convert your Professional Corporation (PC) to a Professional Limited Liability Company (PLLC) you will need to complete the following items and submit to the Board office:
